Royalty-Free, Personal Use Only License Agreement
This Royalty-Free, Personal Use Only License (“License”) is entered into by and between Vincent P. Adamo, doing business as Vince Adamo Photography (“Licensor”), and the purchaser (“Licensee”). The Licensor hereby grants you a non-exclusive, non-assignable, non-sublicensable, perpetual, worldwide license to use, reproduce, and distribute the downloaded photograph (“Image”) solely for personal, non-commercial purposes.
You may only use the Image for personal projects not intended for commercial gain. Permitted use includes, but is not limited to, printing the Image for the purpose of displaying the print as art decoration in your home or personal office, or giving the print as a gift to someone else for the purpose of displaying the print as art decoration in their home or personal office.
You may not use, reproduce, or distribute the Image or derivative works for any commercial for-profit or non-profit business purpose. You may not use the Image in a pornographic, defamatory, deceptive, libelous, obscene, or illegal context. You may not use the Image to directly or indirectly create, train, test, or improve any machine learning algorithms or artificial intelligence systems.
Licensor retains all other rights in the Image and any derivative works, including, without limitation, the right to use, copy, sell, license, and distribute copies of the Image in all markets and territories. In consideration for this License, you agree to pay Licensor the amount specified by Licensor, due and payable immediately prior to downloading a digital copy of the Image. No license is granted until payment is received.
This Agreement shall be governed by and construed in accordance with the laws of the United States of America.
Licensee agrees to indemnify and hold harmless Licensor against any damages or liability arising from any use of the Image. Licensee further agrees to indemnify Licensor for all costs and expenses incurred due to Licensee’s breach of this or any other agreement with Licensor. Licensor’s total liability under this License shall not exceed the amount paid by Licensee for the Image.
This License constitutes the entire agreement between Licensor and Licensee regarding the subject matter herein. No amendment or modification of this License shall be valid unless in writing and signed by both parties.
